What Is a Company Formation POA?
A Company Formation Power of Attorney is an official notarized document authorizing one or more shareholders to appoint an agent to complete the legal and administrative procedures required to establish a company in the UAE.
It is commonly used when a shareholder is outside the UAE and wants a trusted agent to sign incorporation documents and complete licensing procedures.
Important: Licensing authorities such as DED or free zone authorities may not accept a general POA for company formation. The POA should expressly include company formation, licensing and document-signing powers.
What Can the Agent Do?
- Reserve the company trade name
- Submit incorporation applications and obtain initial approval
- Sign the Memorandum and Articles of Association (MOA / AOA)
- Deal with DED or the relevant free zone authority
- Lease office premises and register the lease where required
- Obtain the trade license and establishment card
- Represent the shareholder before government authorities
- Handle post-incorporation procedures such as investor visa applications
Most UAE banks may still require the Ultimate Beneficial Owner (UBO) to attend personally for corporate bank account opening, even if a company formation POA exists.
